Amendment Details

Current AMIA bylaws (ARTICLE 13; Section 1)

These bylaws may be amended by an affirmative vote of two-thirds of members of the Board of Directors present and voting at any Board of Directors meeting, and by a subsequent affirmative vote of the majority of voting members present at the annual business meeting or any special membership meeting.

Proposed AMIA bylaws (ARTICLE 13; Section 1)

These bylaws may be amended by an affirmative vote of a simple majority of members of the Board of Directors present and voting at any Board of Directors meeting, and by a subsequent affirmative vote of the majority of voting members who cast a vote via a secure, web-based survey or equivalent mechanism.

Rationale

The current bylaws require a supermajority of a quorum of the Board to initially approve a proposed change to the bylaws, followed by a majority vote by members in good-standing at either the annual meeting (during the business meeting) or at a special membership meeting, which must occur after a 30-day notice period.

  1. Requiring the supermajority of a quorum of the Board of Directors is "too high of a bar," and allows a small number of Board members to potentially block the progression of a proposed bylaw amendment (akin to the filibuster in the US Senate); and
  2. The mechanism for general member voting is too limited in terms of format/timing (and serves to create inequities, due to the financial and/or logistical barriers to participation in the currently allowable voting event).
